Short summary

  • The EPC role opens after your documents are checked and approved. Unlocks are paid with credits; credits cannot be converted to cash.
  • An unlock gives access to the investor's contact details and the ability to message within the platform; it does not guarantee that you will win the job.
  • For the data of an investor whose request you unlock, your firm is a separate data controller; you may use this data only for that project.
  • You can always see your trust score and the events affecting it in your dashboard. In case of breach of the rules, unlocking may be restricted and your role may be suspended.

1. Parties and subject

This agreement between Ufkon ("Ufkon") and the firm applying for the EPC (installer firm) role governs role approval, unlocking project requests with credits, messaging with investors, optional bids and the use of investor data. The Terms of Use, the Credit Sales Terms and the Unlock Refund Policy form part of this agreement.

This agreement has been prepared in advance by Ufkon for use with many firms. Provisions that may operate against your firm are written in bold; on application, you confirm that you have read and accept them.

2. Application and role approval

  • You upload the documents requested in the application (e.g. tax certificate, trade registry record, signature circular, required authorisation and engineering certificates, references) accurately, up to date and belonging to your firm.
  • Ufkon checks the documents as of the time of the check and approves the application, asks for missing documents or rejects it with reasons. This check does not mean that Ufkon guarantees your firm's technical competence or workmanship.
  • You update changes to your documents (trade name, authorised persons, address, document validity) in your dashboard. Expired or untrue documents may lead to suspension of the role.

3. Team and permissions

  • You can invite team members to your firm and give each member role-based permissions (e.g. unlocking, viewing contact details, messaging, buying credits).
  • Your firm is responsible for every action team members take with these permissions. Removing the access of a departing employee without delay is your obligation.

4. Credits and fees

  • The service fee on the platform is the credit spent to unlock. The credit price of an unlock is tiered by project size, shown at the time of unlock and fixed when the request is published.
  • Buying credits, invoicing, term of use and refund rules are set out in the Credit Sales Terms. Credits cannot be converted to cash and cannot be transferred to another firm.

5. Launch gift

  • During a period it announces, Ufkon may give launch gift credits to firms whose EPC role is approved. The amount and term of use are shown in the campaign definition and in your wallet.
  • The launch gift is given once per firm per campaign; it cannot be claimed again by opening several accounts for the same firm or corporate group.
  • The launch gift is a gift credit: it expires at the end of the period shown, counted from the role approval date, and is not converted to money or refunded. Gift credits are spent first when unlocking.
  • Gift credits may be withdrawn from accounts found to have been opened to abuse the gift.

6. Unlocking

  • There is no upper limit on the number of firms that can unlock a project request. Each firm unlocks a request only once; firms in the same corporate group count as one firm.
  • An unlock gives access to the investor's name, company, contact details, address and documents and the ability to message within the platform. It does not guarantee that the project will be awarded to you or that the investor will respond.
  • You cannot unlock or bid on your own project request or on a request created through the same identity, tax number or corporate group.
  • Requests labelled "SAMPLE" are not real and cannot be unlocked.

7. Rules for contacting investors

  • You contact the investor only for the related project. In your first contact, you state your firm's trade name and for which project request you reached the investor's details through Ufkon.
  • Contact is respectful, at reasonable hours and in line with the preferred channel and call hours stated by the investor. Persistent calling, pressure, misleading statements, false urgency and unsolicited bulk messages (spam) are prohibited.
  • If the investor says they want to end contact, you do not contact them again.

8. In-platform messaging

  • No messaging with the investor is possible before an unlock. After the unlock, you can send text messages within the platform; sending messages too frequently is technically limited.
  • Insults, threats, misleading content, off-project advertising, other people's personal data or unlawful content may not be shared in messages.
  • Messages that are reported for abuse or caught by security measures may be reviewed by Ufkon staff, may not be delivered, or may be removed.

9. Protection of investor data (KVKK)

  • From the moment the investor data in a project request you unlock is disclosed to you, your firm is a separate data controller for that data and is itself responsible for the obligations under Personal Data Protection Law No. 6698 (KVKK), such as providing privacy notices, ensuring security and answering data subject requests.
  • You use this data only for that project, to contact the investor, carry out a site survey and make a bid. You may not sell the data, transfer it to third parties, or add it to another project or to unrelated marketing lists. If you wish to send your own commercial messages, obtaining separate consent from the investor and the other obligations under the relevant legislation are yours.
  • You protect the data against unauthorised access with appropriate technical and organisational measures; if you learn of a data breach, you make your legal notifications and also inform Ufkon without delay.
  • If no contract is concluded with the investor, you delete or anonymise the data within 6 months at the latest from the closing of the project request; if the investor asks for deletion earlier, you comply. Records you are legally required to keep are reserved.
  • How Ufkon processes your data is explained in the KVKK privacy notice for firms.

10. Bids

  • Bidding is optional. A bid made on the platform is a non-binding preliminary offer to the investor, prepared with the standard bill of quantities summary template. Your firm is responsible for the accuracy of the bid content.
  • Ufkon takes no commission and does not handle payments. The contract, payment, installation, warranty and distribution company processes are carried out off the platform, between your firm and the investor; legal obligations towards consumers belong to your firm.
  • Other firms' bid prices are not shown to you.

11. Trust score

  • Your trust score is calculated automatically from events such as dispute history, unlock and contact behaviour and compliance with the rules. You can always see your score and the events affecting it in your dashboard.
  • The score is an algorithmic indicator, not a workmanship guarantee. A low score may restrict your unlock speed or right to unlock. You can object to an event affecting your score and ask for human review at destek@ufkon.com.

12. Disputes

  • Unlock disputes are reviewed under the Unlock Refund Policy.
  • Commercial disputes between the investor and your firm are settled between the parties; Ufkon is not a party to them.

13. Suspension and termination

  • In case of untrue or expired documents, use of investor data for other purposes, breach of the contact rules, repeated unjustified disputes, a payment chargeback or any other material breach of this agreement, Ufkon may restrict unlocking, suspend the EPC role or terminate the agreement.
  • A suspension or termination decision is notified in advance with its reasons by e-mail or KEP, except where delay would be harmful, and you are given at least 5 business days to respond. You may object to the decision; the objection is reviewed by an authorised person other than the one who made the decision.
  • You may end the agreement at any time by closing your EPC role or account from your dashboard. What happens to unused credits is governed by the Credit Sales Terms.
  • Your data obligations under section 9 continue after termination.

14. Liability

  • The total liability of Ufkon under this agreement is limited to the total amount your firm paid to Ufkon in the 12 months before the date the damage arose; indirect damages and loss of profit are excluded. This cap does not apply to the intent or gross negligence of Ufkon.
  • Your firm is responsible for third-party claims arising from its services to investors, its bids, its use of investor data and breach of this agreement.

15. Changes, notices and disputes

  • Material changes to your detriment are not applied unilaterally; the new version is shown in the dashboard and your approval is requested. Until you approve, buying credits and unlocking stay closed; if you do not accept, you may end the agreement.
  • Notices are sent to your firm's registered e-mail address or KEP address; notices to Ufkon are sent to destek@ufkon.com (KEP: none).
  • This agreement is governed by the laws of the Republic of Turkiye. The Istanbul (Caglayan) Courts and Enforcement Offices have jurisdiction over disputes; if your firm is not a merchant, the general rules of jurisdiction apply.
